Share distribution: Upon registration 100 shares will be authorised. It is your discretion of how much shares needs to be issued to each shareholder. Shares needs to be in quantities, and not percentages. Not all 100 shares have to be allocated at inception, shares can be distributed at a later stage for new or existing shareholders.

What is a co-operative?

It is a business where a group of people with common needs get together voluntarily and establish a co-operative in order to address the needs that an individual cannot address alone. For example the co-operative could buy in bulk the inputs the members need to produce a certain product (e.g. flour to bake bread and cakes). The members then produce the product and the co-operative market and sell it on their behalf (e.g. the bread and cakes are sold to the public by the co-operative).

What is the purpose of a Co-Operative?

A Non-Profit Company without members and with a standard MOI(CoR15.1C) may be registered manually and electronically.

A non-profit company without members and with a customised MOI may only be registered manually.

A non-profit company with members, long form can only be registered manually.

Difference between an NPO and NPC

A non-profit company is a company incorporated for public benefit or other object relating to one or more cultural or social activities, or communal or group interest.

The income and property of a non-profit company is not distributable to its incorporators, members, directors, officers or persons relating to any of them and must be used to advance the purpose for which it was created, as set out in its MOI. A non-profit company must have at least three incorporators and three directors and may be registered with or without members. A non-profit company is not required to have members. The members of a non-profit company are persons who participate in the activities of the non-profit company, such as members of a church or a pension fund. Non-profit companies registered without members, may be registered with a standard or a customized Memorandum of Incorporation (MOI).

What about tax?

The company needs to apply for a tax exempt status to be free from any form of tax. If not applied, the company will be liable for tax. Income tax returns is still required to do.
